VELOCITY BIKES CYCLING CLUB
Constitution/Rules

1. Name
The name of the club shall be Velocity Bikes Cycling Club (VBCC) (“the club”). The club is an amalgamation of VBCC and Velocity Bikes - Rough Riders MTB Club

2. Objects
2.1.1 The club aims to promote the sport of cycling to both competitive and non-competitive riders in an informal, friendly and relaxed atmosphere. It seeks to provide members with the opportunity to find their niche within the sport of cycling, whether it is in road racing or time-trialling or mountain biking or cycling just for the love of it! 
To promote environmentally sound and socially responsible cycling.
To work to create new trails, and keep trails and public access open for mountain biking by encouraging responsible riding, supporting volunteer trail work and cooperating with other trail user groups, land managers and public bodies.

2.2 The club is committed to providing support, advice and guidance to all members on all aspects of competitive and non-competitive cycling. 

3. Membership

3.1 Membership of the club shall be open to all persons wishing to participate in or support the objectives and aims of the club. Velocity Bikes (Portsmouth) Ltd shall automatically, on the founding of the club on 1 February 2008, become a life member (“the life member”)

3.2 All those wishing to become members must pay the appropriate annual subscription and must also agree to be bound by the club’s rules.

3.3 Annual subscriptions for members shall be decided at a general meeting of the club and all subscriptions become payable on 1 October of each year. Subscriptions of members joining the club after 1 July in any year will be deemed to expire on 30 September of the following year.

3.4 If a member fails to pay their subscription in full by 1 October then their membership shall be deemed to have lapsed and that member shall no longer be a member of the club nor enjoy the associated privileges of membership.

3.5 The committee may terminate the membership of any member, with the exception of the life member, who has, in the opinion of the committee ceased to be a fit and proper person to be a member.

4. General Meetings

4.1 An Annual General Meeting (“AGM”) shall be held once in every calendar year within 7 months after the end of the club’s financial year at a venue of the committee’s choice.

4.2 The AGM shall conduct all business placed before it which shall include the following:

(a) Election of the officers requiring election;

(b) Approval or otherwise of the club’s accounts;

(c) Election of any members of the committee requiring election;

(d) Nominate two club members to examine the club accounts for the following year. These may not be officers of the club. 

(e) Transact such other business as may be necessary.

4.3 Notice of any general meeting shall be sent to all members at their last known UK address not less than 14 days prior to the date of the meeting and the notice shall specify the time and venue of the meeting and shall include an agenda.

4.4 Votes at both the AGM and general meetings shall be by a show of hands of the members present. A general meeting shall not be quorate unless 10 or more members are present. The life member shall be given the number of votes equivalent to the number of members in attendance at the meeting at any given time plus one.

4.5 The Chairman shall take the chair at all general meetings and should he not be present within 10 minutes of the appointed time of the meeting, the members present shall elect a Chairman.

5. The Officers

5.1 The officers of the club shall be:
(a) The Chairman;
(b) The Vice-Chairman;
(c) The Treasurer;
(d) The Secretary.

5.2 All officers shall hold office from year to year and shall, unless re-elected, cease to be an officer at the close of business of the annual general meeting next after his election or appointment.

6. The Committee

6.1 The management and control of the club shall be vested in the Committee, which consist of:
(a) The Officers:
(b) A representative of the life member;
(c) Up to 5 ordinary members to be elected at the AGM and hold office until the next AGM when they would be eligible for re-election;
(d) The Secretary shall convene the Committee Meeting at the request of the Chairman or of any 3 members of the Committee and shall give reasonable notice thereof to all Committee members. The quorum shall be 4 voting members;
(e) The Committee may fill any vacancies, which may occur in the Officers, or appoint additional officers, or appoint additional ordinary members all of whom may hold office until the next annual general meeting when they shall be eligible for re-election. The Committee may establish one or more sub-committees to assist in the discharge of its duties, which may include some members, who are not on the Committee;
(f) A representative of the life member will at all times be a member of the Committee;
(g) The club Treasurer shall administer the funds under the direction of the Committee and all cheques drawn on the club’s general funds must be signed by the club Treasurer and the life member;

7. Club Rules

7.1 The club colours shall be green, black and red.

7.2 All club clothing designs shall incorporate the logo of Velocity Bikes of 319 London Road, Portsmouth (“the shop”).

7.3 The shop’s logo and name must be displayed on all club correspondence.

7.4 Members of the club are entitled up to a 10 % discount on all products purchased from the shop (excluding any labour costs).

7.5 All members are responsible for having in place appropriate third party insurance and the Committee may, at any given time, request sight of such insurance policies.

7.6 Any equipment donated by the shop to members will at all times remain the property of the shop and the member having the benefit of the equipment must have in place insurance for at least the full cost replacement of all such equipment in their possession. Any member benefiting from such equipment undertakes to keep the equipment in a good and serviceable condition at all times. 

7.7 The club accounts shall be available at all times for inspection by members, at the shop.

7.8 The life member shall, at all times, be the main sponsor of the club and to this end shall not be required to pay subscriptions for membership of the club. If the club is dissolved, then any funds remaining after all of the club’s liabilities are settled shall belong to the life member, as the main sponsor of the club.

7.9 No rules shall be made, altered or rescinded except at a general meeting, 14 days notice of which proposed alteration shall have been given to all members of the club and all members shall be bound by a majority of the votes cast by members at such meetings.
